Overview

Brian Fischer represents private equity and venture capital investors, public companies, closely held companies and emerging growth companies in formation, debt and equity financings, mergers and acquisitions, strategic joint ventures, technology arrangements, and general corporate matters. He advises clients in structuring, forming and operating private investment funds, partnerships and joint ventures. Brian also has significant experience in transition planning for family-owned and closely held businesses and assisting owners and management in preparing for and executing sale transactions and other transitions to the next generation of owners and management.

Experience

Represented an international engineering company its stock acquisition of a tool design and manufacture company

Advised family office with distressed technology company investment, including bridge loans, loan restructuring and ultimate workout (outside of bankruptcy) to secure equity ownership of target company

Represented an international logistics company in its divestiture of a cross-border business unit

Represented an investor group in connection with a preferred stock investment in a communications company

Represented a private equity fund in connection with a preferred stock investment in a publicly traded manufacturing company

Represented an independent sponsor in connection with its equity offering and minority investment in a manufacturing company

Represented a privately held company engaged in the business of designing and manufacturing custom surface acoustic wave (SAW) components and modules for defense and space industries in its sale to a publicly traded technology company

Represented a manufacturer of 3D printers and 3D production systems in its stock for stock merger with an Israeli company

Represented the audit committee of an oil and gas exploration and production company in connection with a series of related party transactions

Represented a Bermuda based insurance company in connection with its domestication into Delaware

Represented a Spanish waste management and recycling company in a stock acquisition of Wisconsin-based specialty waste management company and in a stock acquisition of an Alabama based specialty waste management company

Represented a Connecticut chartered financial institution in its acquisition by a mutual holding company
