In the article, Fromberg discusses the U.S. Securities and Exchange Commission’s adoption of amendments to the intrastate offering exemption. The amendments modernize the exemption by eliminating restrictions on offers and allowing issuers to be incorporated or organized outside of the state in which the intrastate offering is conducted, provided certain conditions are met. "It gives companies raising money a lot more flexibility in how they reach out to people," Fromberg said. "They can use social media. They can post something on Facebook. That increases exponentially the number of potential investors."
