Day Pitney Represents State Pension Plan in $150 Million Wind Point Partners Fund Investment
On July 23, 2026, Day Pitney represented a state pension plan in connection with a $150 million investment in Wind Point Partners XI-A, L.P., a private equity fund sponsored by Wind Point Partners. The Day Pitney Institutional Investor team advised the plan in the review and negotiation of the limited partnership agreement, side letter, subscription agreement and related partnership, securities, tax, and enforceability opinions. The team’s work included negotiating protections tailored to the plan’s status as a public pension investor, including provisions addressing sovereign immunity, public records obligations, investment restrictions, reporting, advisory board rights, tax matters, credit facilities, continuation funds, NAV facilities, exculpation and indemnification, recycling and recall limitations, retail investor vehicles and other fund governance matters.
