Day Pitney Represents Investment Manager in Formation of Private Fund

In November 2025, Day Pitney represented a NY-based investment manager, in connection with the formation of a private fund targeting interests in a military defense technology portfolio company. The Day Pitney team, consisting of Peter Bilfield, Michael Cummings, Caitlyn Pesavento, Lindsay Kaighin, and Kim Morabito, with U.S. tax assistance from Amy Drais and Emily Byrnes, advised the client on the preparation of offering documents, including the limited liability company agreement, summary of terms, risk factors and conflicts of interest acknowledgment, investment management agreement, and subscription agreement. The team also advised on ensuring adequate disclosure of the fund’s investment in a vehicle holding shares of the portfolio company, to reflect its “fund of funds” investment structure.
