Robert "Rob" Siegel, resident in the firm's Hartford office, is a partner in the Corporate and Business Law department. He is also a member of the firm's Mergers and Acquisitions, Distressed Assets, and Tax groups. Rob has considerable experience in the sale and acquisition of privately held businesses and in structuring the equity/debt ownership of privately held middle-market businesses, including distressed asset acquisitions and dispositions. Rob has drafted many limited-liability company and partnership agreements for a wide range of businesses and projects, particularly real estate joint ventures and syndications. While his practice emphasizes the special issues of privately held companies, Rob has also represented several public companies in asset acquisitions and dispositions. Rob also advises corporations and partnerships on federal income tax matters.

Representation of several middle-market businesses in mergers and acquisitions and buy-sell agreements and in equity restructurings to resolve disputes among shareholders or to accomplish federal tax planning objectives
Representation of major insurance company in the outsourcing of its agency software service and maintenance obligations, as well as its printing and document-management operations
Drafting of numerous limited-liability company agreements for a wide variety of business enterprises and joint ventures
Obtaining private letter rulings from the IRS on behalf of utility clients in connection with large securitized financings totaling more than $2 billion
Negotiation of favorable settlement with IRS of audit adjustments relating to a water utility company's $160 million bargain sale of real estate
