Brent Morowitz advises investment advisers and private investment funds on regulatory compliance, fund structuring and ongoing operations. He organizes both open-end and closed-end private investment funds and has represented sponsors raising private equity and venture capital funds in size ranging from $10 million to more than $10 billion. Brent also has significant experience in negotiating private equity and venture capital investments for institutional clients, including funds of funds, insurance companies and family offices.
Prior to joining the firm, Brent worked in-house as part of the legal department of a preeminent Connecticut based private equity fund of funds, advising on primary fund investments, fund formation matters and assisting with regulatory compliance issues.
Represented private equity fund sponsors in raising more than $20 billion of capital, including an $11 billion global private equity fund and several funds totaling more than $7.5 billion for a technology-focused private equity manager
Negotiated private equity investments on behalf of funds-of-funds, family offices and an insurance company
Represented a global alternative investment manager in the restructuring of a $1 billion investment fund into a managed account
Advised newly organized private equity, hedge fund and venture capital advisers in organizing their initial funds and special purpose vehicles
Organized an offshore hedge fund for the purpose of trading bitcoin and other crypto currencies
Led the formation of a holding company and negotiated ownership arrangements with respect to a crypto currency exchange operating company
