Leading with strength in tax matters, Daniel "Dan" Gottfried, chair of the firm's Tax and International Transactions groups, assists clients with structuring, negotiating and documenting business deals, investment transactions, and business restructurings. This assistance includes federal, state and international tax planning and compliance; corporate mergers, acquisitions and dispositions; joint ventures; partnerships; and S corporations. Dan also has particular experience assisting with tax aspects of restructuring businesses and distressed assets, as well as tax issues relating to intellectual property assets.
Gottfried represents a variety of business entities, including publicly traded companies, entrepreneurial businesses, private investment funds and family office investors. He has extensive experience advising companies expanding in to the United States and U.S. companies expanding globally. Working across industries, he has experience in manufacturing, fintech, wireless communications, insurance, liquor and wine, energy, medical devices, higher education and emerging industries, such as blockchain, cryptocurrency and cannabis. He helped to establish VentureGeeks – Israel's first privately funded start-up accelerator.
Dan has written many articles and spoken before many professional organizations on tax topics. Among others, he has been featured in The New York Times, The Hollywood Reporter, National Public Radio, Standard Federal Tax Reports, Hartford Business Journal and Tax Notes International. Dan has also served as an adjunct professor at The University of Connecticut School of Law.
Working with global private equity fund with U.S. taxable investors to restructure a European portfolio company, with a particular emphasis on planning for U.S. tax aspects of the restructuring
Represented U.S. not-for-profit in structuring and negotiating international and domestic private equity investments
Assisted significant investor in a leveraged investment partnership to restructure and exit the partnership after partnership investments became distressed, including dealing with cancellation of debt income issues
Represented private equity fund with mandate of developing and investing in wireless communications infrastructure in original organization and subsequent equity fundraising
Assisted multigenerational family owned business in joint venture with U.S. public company including partial liquidity with mix of cash and restricted stock, and long term stockholder, distribution, import/export and other arrangements
Represented private equity fund in connection with acquisition of portfolio companies in Latin America
Assisted client in negotiating arrangement to run private equity investments for multi-billionaire family office, including structuring and negotiating sophisticated equity arrangements for participation in family office investments
Advised family office with distressed technology company investment, including bridge loans, loan restructuring and ultimate workout (outside of bankruptcy) to secure equity ownership of target company
Worked with technology transfer office of a major international university in structuring its participation in commercialization efforts and licensing revenues
Represented global UHNW families with U.S. interests in structuring their international holdings to address U.S. tax planning and compliance needs, including pre-immigration and expatiation planning
Assisted client in establishing cryptocurrency consulting and investment management firm, including structuring and negotiating equity and token arrangements with crypto businesses
Represented family office investor forming and investing in cannabis-related businesses including de novo formation work and private equity investments in existing businesses
