Jaclyn D'Esposito advises clients on a broad range of corporate, transactional and securities law matters, including mergers, acquisitions and other strategic transactions; formation matters, debt and equity financings, corporate governance; commercial agreements; succession planning; and compliance with public company reporting obligations under federal securities laws. Clients include early-stage companies, closely-held and family-owned companies and their owners, venture capital funds, publicly held companies, community and national banks, and family offices engaged in diverse industries.

Jaclyn actively participates in Day Pitney's pro bono program in which Day Pitney attorneys act as court-appointed attorneys for allegedly incapacitated persons in guardianship proceedings in New Jersey.

Jaclyn served as a law clerk to the Honorable Robert P. Contillo, Presiding Judge of the Superior Court of New Jersey, Bergen County, Chancery Division, General Equity and Probate Parts. There, she gained experience in business and probate litigation.

During her last semester of law school, Jaclyn worked in Washington, D.C., as a law clerk for United States Senator Orrin G. Hatch. She assisted Senator Hatch’s Senate Judiciary Committee staff and contributed to the passage of the Defend Trade Secrets Act. Jaclyn also served as a Judicial Intern to the Honorable Renée Marie Bumb, U.S.D.J. in the District Court of New Jersey. She was a summer apprentice at Day Pitney in 2015.


Represented an early-stage company in a Series Seed financing in which a leading seed-stage venture firm was the lead investor

Represented a public bank holding company in acquisition of another public bank holding company for approximately $750 million in stock

Counseled a public bank holding company in its acquisition of a community bank for approximately $53 million in cash and stock

Represented the controlling shareholders of a public media company on corporate governance and public company reporting and disclosure matters

Assisted client in sale of a U.S. commercial lighting manufacturer to a foreign electronics manufacturing company for approximately $90 million

Represented a public bank holding company in $115 million subordinated debt offering

Advised shareholders of a publicly held corporation on the adoption of by-law amendments and election of a director

Successfully defended against an activist shareholder on behalf of a public company offering technology and printing solutions for high-growth markets

Represented clients in buyout of 50 percent owner of a closely-held engineering firm for $2 million

Counseled client through an internal reorganization of a family office and related entities
