Corporate Technology Associate Attorney – Connecticut Offices; Parsippany, NJ

Position Overview

Day Pitney is seeking an associate with a minimum of 3 years of transactional experience in the area of technology and intellectual property licensing and transfer and software services and outsourcing contracts to join our growing team in our Technology practice.

Ideal candidates will have demonstrated experience representing companies in the areas of domestic and international technology and intellectual property transactional matters, including drafting, negotiating, and advising on technology transactions involving software and data licensing, marketing and distribution, software development and services; supporting various forms of corporate transactions involving the purchase or sale of technology or intellectual property assets; advising on data privacy matters such as drafting non-disclosure agreements, privacy policies and negotiating data protection aspects in various transactions; and advising on licensing of trademarks, patents and other intellectual property.

Requirements

  • Minimum of 3 years of demonstrated experience representing large corporations, mid-market companies and emerging companies in various transactions centered around technology and intellectual property.
  • Excellent verbal and written communication skills, including contract drafting and reviewing skills, with strong attention to detail.
  • Team-oriented with an emphasis on collaboration and ability to work with teams across offices.
  • Effective and efficient problem solving capabilities with the ability to work independently and proactively, and to develop creative solutions to meet client and team needs.
  • Proficient in technologies, including familiarity using Microsoft Excel to analyze data, Microsoft PowerPoint to prepare diagrams, Microsoft Teams for online collaboration.
  • Member of the bar in good standing in the jurisdiction of the Day Pitney office you plan to practice.

Preferred Experience

  • Proficient in (I) drafting and reviewing a variety of technology-related agreements, including software development and licensing, software as a service, data licensing, patent licensing; (II) drafting and reviewing contracts for various commercial transactions, including agreements for manufacturing, distribution, reselling, marketing services, and various banking-related services; and (III) drafting memoranda and advising on pre-litigation contract disputes involving technology services and products, and laws relating to technology; and (IV) negotiating technology and intellectual property aspects of asset purchase/sale.
  • Experience with blockchain or artificial intelligence is a plus.
  • Prior education or experience in software engineering, telecommunications or other computer science field is a plus.
