Dennis Townley practices corporate law. He currently acts as outside general counsel to a large, family-owned construction products company. He previously served as inside general counsel to a federal savings bank, which was successfully recapitalized and subsequently merged into a larger national bank.
Dennis advises businesses and business owners on a wide variety of matters, including choice of entity, contracts, financings, mergers and acquisitions, and divestitures. He has worked extensively with early stage companies and on intellectual property licensing transactions. He is experienced in the formation and documentation of international joint ventures, including joint ventures focused on intellectual property. He has advised boards of directors of public and private companies regarding their fiduciary duties, as well as in connection with internal control and compliance matters.
Dennis regularly assists families with the development and documentation of their shareholder agreements and corporate governance arrangements. He also works with high net worth clients to evaluate and document investments.

Represents U.S. companies in the formation and documentation of international joint ventures, including those created to hold and license intellectual property
Handles merger and acquisition and divestiture transactions for public and private companies
Represents businesses and institutions in a wide variety of financing transactions on the borrower and lender side, including debt and equity
Served for three years as a member of a small team of lawyers appointed by the DOJ to monitor the compliance of a global financial institution with its agreement with DOJ
