Gray Haile LLP and Day Pitney LLP Form Strategic Alliance
Publisher: Day Pitney
4/23/2007

Gray Haile LLP and Day Pitney LLP announced a strategic alliance that will enable each firm to expand its client base and provide clients with a team of diverse lawyers with sophisticated business law experience. The strategic alliance is an innovative way to accomplish two important goals for law firms: (i) attaining manageable growth and (ii) meeting the expectations of corporate clients who are emphasizing the need for law firms to increase the retention and promotion of minorities.

Gray Haile, which was formed in 2006, is a boutique minority-owned transactional law firm based in Washington, D.C. that focuses on mergers, acquisitions, divestitures, leveraged buyouts, joint ventures, corporate financing transactions, private security placements and venture capital. The firm traces its origin to an effort to build a top-flight corporate law practice comprised of experienced attorneys who had practiced at some of the country's premier law firms.

Day Pitney, created on January 1, 2007 through the merger of two prominent east coast law firms (Day, Berry & Howard and Pitney Hardin), is one of the country's 150 largest law firms with approximately 400 lawyers in 9 offices, including a Washington, D.C. office which opened last year. Day Pitney is a full service law firm that maintains a strong corporate practice with approximately 50 lawyers focusing on mergers and acquisitions for public and private companies.

Gray Haile benefits from the strategic alliance by: (i) expanding its capabilities and depth to allow the firm to quarterback larger and more complex transactions for its clients and (ii) sharing the knowledge base and information resources of a much larger organization. Day Pitney benefits from the alliance by: (i) adding depth to its already strong mergers and acquisitions practice and (ii) being able to provide its clients with a larger group of outstanding minority attorneys with whom to work.

The two firms will remain separate entities but will co-counsel on transactions when appropriate and jointly pursue new business opportunities. In addition, effective on or about June 1, 2007, Gray Haile will share office space in Day Pitney's offices on New York Avenue in Washington, D.C., providing their attorneys with full access to Day Pitney's resources.

Most importantly, existing and prospective clients of each of the two firms will be able to receive the benefit of engaging experienced, diverse and creative teams of legal advisors.

"We are delighted to be associated with the outstanding lawyers at Gray Haile," said James Sicilian, Co-Chairman of the Executive Committee of Day Pitney. "Day Pitney is firmly committed to better reflecting the demographics of the companies we are serving. We look forward to great success from bringing together these two groups of highly talented and diverse lawyers."

Ronald Janis, head of Day Pitney's Mergers and Acquisitions Practice Group, added, "We have a deep belief in the value of diversity to the quality of our client work and the alliance gives us yet another way to positively distinguish ourselves in this area while at the same time expanding our bench of excellent transactional lawyers."

"We have traditionally worked on middle-market transactions for our Fortune 500 and large, private company clients. Having the ability to tap into the resources of a large, full-service law firm will allow us to go after larger transactions and significantly boost our ability to attract new work," said Leander Gray. "Moreover, we are impressed with the talent of the lawyers at Day Pitney and their commitment to promoting the success of minority and women lawyers."
